These terms of service along with other policies and guidelines posted at www.affecta.ai (collectively referred to as the “Terms”) which comprise the agreement between the client or user (“you”) and this company (“Affectra-AI”) that govern your access to and use of Affectra-AI’s services, including its websites and where applicable its various APIs, technologies and datasets (collectively referred to as the “Service”). By using the Services you explicitly agree to and are bound by these Terms.

 

 

LICENSE GRANTS

To the extent you are a freemium or paid customer of the Service, Affectra-AI will provide you reasonable support and grants you a limited, non-sublicenseeable, non-transferable, revocable license to access the Service and its data insights for personal, commercial or research use in visual displays, reporting, analysis, modeling or software projects. Any third party facing exposure of Affectra-AI’s data and insights wether be in raw, derived or compiled form must attribute to Affectra-AI.

 

 

INTELLECTUAL PROPERTY

The Service is protected by domestic and international copyright laws. All rights, titles, data and algorithms in and pertaining to the Service are and will remain the exclusive property of Affectra-AI and its licensors. You furthermore grant Affectra-AI an irrevocable, perpetual and fully assignable worldwide license to use any meta information generated by the Service usage.

 

 

PROHIBITED ACTIVITIES

• Sell rent, sublicense, transfer, distribute or share access to and content from the Service in its entirety or any part to any unauthorized public or private third party other than with explicit written approval by Affectra-AI;

 

• Circumvent payment and authorization access to the Service via means of impersonation, brute force attempts, spoofing and snooping or other unofficial methods as well as systematically extracting content via unofficial channels through manual or automated methods such as crawling, bots, or the like;

 

• Attempt to reverse engineer, decipher, de-compile or replicate entirely or in part any Affectra-AI technology, algorithms or data content. This includes probing, testing and exploiting perceived vulnerabilities of the Service and Affectra-AI networks as well as attempting to tamper with normal operations of the Service to diminish, restrict or pollute its functionality or quality;

 

• Use the Service or data for illegal or abusive activities, including but not limited to: infringing intellectual property rights, violating privacy of specific individuals/households, discriminating against specific groups, national espionage, planning acts of terrorism, or the like;

 

 

CANCELLATION & TERMINATION

Affectra-AI reserves the right to temporarily or permanently discontinue the Service at any time, for which Affectra-AI will deploy commercially reasonable efforts to notify you of such scenarios. You may also willfully terminate these license Terms at any time by notifying Affectra-AI. If any part of these Terms are violated, license to data and access to Service are automatically terminated without notice and any further usage or data retention shall be a material breach of these Terms. All termination events require you to permanently destroy and/or delete all portions of and copies of the data content you have acquired by the Service.

 

 

LIMITATIONS OF LIABILITY

To the full extent allowed by applicable law, Affectra-AI, its executives, employees and agents shall not be liable, under any circumstance, to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost revenue, loss of data, loss of equipment or property or any other damages arising from your use of Affectra-AI Services. Affectra-AI makes no warranty, expressed or implied, either in fact or by operation of law, statute, custom, oral or written statements or otherwise regarding the Service, including that the service will meet your requirements, or will work in combination with any hardware or software, that the service will be uninterrupted, without problems or be error-free, that results and projections will be accurate or that all defects in the Service will be corrected. Affectra-AI provides the Service “AS IS” and “AS AVAILABLE”. Notwithstanding anything to the contrary contained herein, Affectra-AI’s liability to you for any cause whatsoever and regardless of the form of the action, if deemed liable at all, will at all times be limited to a cumulative value no greater than $100 CAD.

 

 

MISCELLANEOUS
